Terms of Service
Effective date: November 5, 2026
These terms are an agreement between Ternary Developments Inc. ("Ternary", "we", "us") and the business that signs up for Ternary ("you"). They apply to ternarydev.com, the Ternary dashboard, the signup and checkout pages we host for you, the Ternary Discord bot, the developer API and the Claude connector (together, "Ternary" or "the platform").
If you sign up for a company or other organization, you confirm that you can bind it to these terms, and "you" means that organization. If you have signed an order form or master subscription agreement with us, that document controls where it conflicts with these terms.
If you do not agree to these terms, do not use Ternary.
1. Who Ternary is for
Ternary is a tool for businesses that run communities on Discord. You must be at least 18 and use Ternary for a business, not for personal, family or household purposes.
The people who join your community ("your members") use the pages and bot we run for you. Their relationship is with you, not with us. These terms do not give your members any rights against Ternary, and your members do not agree to these terms by signing up to your community.
Ternary is not affiliated with, endorsed by or partnered with Discord, and is not associated with any Discord server.
2. What Ternary does
Depending on your plan and the features you turn on, Ternary lets you:
- run signup pages that gate access to your Discord server, and give and remove Discord roles automatically;
- keep a member list (CRM) with signup details, Discord details and, if you turn it on, whether each member is still in your server and how many messages they have posted;
- sell paid memberships to your members through your own Stripe account, using Stripe Connect;
- post polls in Discord and collect the votes;
- save the posts of the Discord channels you pick;
- run support tickets in Discord threads, and forward them to Slack through a webhook you supply;
- read your Ternary data from Claude through a read-only connector;
- add Meta, Google and TikTok tracking pixels to your signup and checkout pages, which load only after a visitor accepts cookies;
- read and update your data through our developer API.
We may label some features as preview or beta. Those features may change or be withdrawn at any time, and are provided as they are.
3. Your account
You are responsible for your login details and for everything done under your account, including by the team members you invite. Give each team member the lowest role they need. Keep API keys and Claude connector tokens secret: anyone holding one can read your data. Replace or revoke a key or token as soon as you no longer need it or think it has leaked.
Tell us at support@ternarydev.com straight away if you think your account has been compromised.
You must give us accurate information when you sign up and keep it up to date.
4. Plans, fees and billing
Basic is free. Premium costs $100 per month, plus a transaction fee on the payments your members make through Ternary. Current prices, the transaction fee and what each plan includes are on our pricing page and in your dashboard when you choose a plan. Prices are in US dollars and exclude taxes, which you pay where they apply.
- Billing. Premium is billed monthly in advance to the card you save with Stripe. It renews every month until you cancel.
- Transaction fee. The transaction fee is taken by Stripe from each member payment, as a Stripe application fee, at the time of the payment.
- Cancelling. You can cancel Premium at any time by emailing support@ternarydev.com. It stays active until the end of the month you have paid for, and is not renewed.
- Refunds. Fees paid to Ternary, including the transaction fee, are non-refundable, except where the law says otherwise. A refund you give a member does not refund the transaction fee unless Stripe returns it to us.
- Failed payments. If a payment fails, we may move your account to Basic or suspend paid features until it is paid.
- Price changes. We will tell you at least 30 days before a price or fee change applies to you. If you do not agree, you can cancel before it takes effect.
- Discounts. A discount or coupon ends when its term ends, and the full price applies from the next billing period.
5. Selling to your members
When you sell paid memberships, the sale is between you and your member. You are the seller.
- Payments go to your own Stripe account, connected to Ternary through Stripe Connect. Your use of Stripe is governed by Stripe's Services Agreement and Connected Account Agreement (stripe.com/legal), and you must not sell anything on Stripe's list of restricted businesses (stripe.com/legal/restricted-businesses).
- Ternary does not hold your money. Stripe pays you out under its own terms.
- You are responsible for your prices, your refund policy, chargebacks and disputes, taxes on your sales, and the consumer laws that apply to your members, including clear renewal and cancellation terms.
- We may stop or hold a payment flow if we reasonably believe it breaks the law, these terms or Stripe's rules.
6. Discord
Ternary works through Discord. You must follow Discord's Terms of Service, Community Guidelines and Developer Policy, and you must have the right to add our bot to each server you connect.
- Our bot needs the permissions you grant when you add it. Features that read your server, such as member tracking, activity counts and saved posts, work only in channels the bot can see.
- Activity counts record how many messages each member posts in each channel and thread, by day. They never store what the messages say.
- Saved posts do store message content, attachments, edits and deletions, but only for the channels you pick.
- Discord can change or limit its service, its API or our bot's access at any time. When it does, some features may stop working, and we are not responsible for that.
7. Your members, your notices and your consents
You decide which data your signup pages ask for, which features you turn on, and how you use your members' data. Because of that, you are responsible for:
- giving your members a privacy notice and terms that are accurate for your community. You may link your own pages, or, where we offer them, use our standard member terms and privacy pages, which you should review before you use them;
- having a lawful reason for collecting and using your members' data, including any consent the law requires;
- telling your members, for example in your server's rules, when you turn on member tracking, activity counts or saved posts;
- the tracking pixels you add, and following Meta's, Google's and TikTok's terms for them. We show a cookie banner on your signup and checkout pages, and the pixels load only if the visitor accepts;
- not asking for sensitive data in signup forms, such as health, financial account, government ID, sexual orientation or similar data;
- not knowingly collecting data from children under 13, or under the age of digital consent where your members live.
8. How we handle your members' data (data processing terms)
For the personal data of your members that we handle on your behalf ("member data"), you are the controller (under the CCPA, the "business") and Ternary is your processor (under the CCPA, your "service provider"). Our Privacy Policy describes the member data and how long we keep it. We will:
- process member data only to provide Ternary to you, as these terms, your settings and your other written instructions describe, unless the law requires otherwise, in which case we will tell you first where the law allows;
- not sell member data, not share it for cross-context behavioral advertising, and not use it for our own purposes, except to keep the platform secure and working;
- make sure the people who can access it are bound to keep it confidential;
- protect it with appropriate technical and organizational measures, as our Privacy Policy describes;
- use only the subprocessors listed in our Privacy Policy. You authorize them now. We will tell you at least 30 days before we add or replace one, and you may object on reasonable data protection grounds. If we cannot resolve your objection, you may cancel and we will refund any prepaid fee for the unused period;
- bind each subprocessor to data protection terms at least as protective as these, and remain responsible for them;
- help you answer your members' requests to exercise their rights, and with any data protection impact assessment or regulator consultation you need to make about Ternary;
- tell you without undue delay, and within 72 hours, after we become aware of a personal data breach affecting your member data, with the information you need to meet your own duties;
- protect transfers of member data out of the EEA, UK or Switzerland with the safeguards our Privacy Policy describes, including the EU Standard Contractual Clauses (and the UK and Swiss versions), which are incorporated into these terms by reference where they are needed;
- give you the information you reasonably need to show we meet these duties. If that is not enough, you may audit us once a year, at your cost, with 30 days' notice, under a confidentiality agreement;
- when your account closes, delete member data as our Privacy Policy describes, after giving you the chance to export it, unless the law requires us to keep it.
If you need a separate signed data processing agreement, contact us at support@ternarydev.com.
9. Services you connect
Some features send your data to services you choose: a Slack workspace through your webhook, Claude through the connector, your own systems through the developer API, an ad network through a pixel, or another tool you connect. Once data reaches that service, its own terms and privacy policy apply, and it is your choice and responsibility. We are not responsible for those services.
- Claude connector. The connector can read members, poll votes and saved posts, and cannot change anything. Only owners and admins can connect it. Connecting it sends the data Claude asks for to your Claude account.
- Developer API. You must keep within the rate limits and documentation we publish, and protect your secret key.
- Slack. Anyone who has your webhook URL can post to your Slack channel. Keep it private.
10. Acceptable use
You must not, and must not let anyone else:
- break the law, or help anyone else break it, including spam, privacy, consumer protection, sanctions and export laws;
- use Ternary to harass, threaten, defraud or discriminate against anyone, or to share content that is illegal, sexually exploits minors, or infringes someone else's rights;
- send spam, or upload malware;
- try to get into another business's data, or test, scan or break our security without our written permission;
- scrape, overload or disrupt the platform, or get around rate limits, access controls or plan limits;
- copy, reverse engineer or resell Ternary, or use it to build a competing product, except where the law allows;
- use Ternary for anything Stripe or Discord does not allow;
- use Ternary to make decisions about someone's eligibility for credit, employment, housing, insurance or similar.
11. Your data and our platform
You keep all rights in the data and content you and your members put into Ternary ("your data"). You give us permission to host, copy, process and display your data only to provide, secure and support Ternary for you, and as these terms and our Privacy Policy describe.
We own Ternary, its software, design and brand. We give you a limited, non-exclusive, non-transferable right to use Ternary for your business while your account is active and you follow these terms.
If you send us feedback or ideas, we may use them without any duty to you.
We may use information about how your account uses Ternary, such as feature usage and error rates, that does not identify your members, to run, secure and improve the platform.
12. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for this agreement, and protect it with reasonable care. This does not cover information that is public, already known to the receiver, independently developed, or that the law requires to be disclosed (with notice where allowed).
13. Availability and changes
We work to keep Ternary available, but we do not promise it will be uninterrupted or error-free, unless an order form says otherwise. We may need to take it down for maintenance.
We may change, add or remove features. If we remove a major feature of a paid plan you are on, we will tell you in advance, and you may cancel and get a refund of any prepaid fee for the unused period.
14. Suspension and closing your account
You may close your account at any time by emailing support@ternarydev.com.
We may suspend or close your account, or part of it, if you do not pay, if you break these terms, if your use puts Ternary, other businesses or anyone else at risk, or if the law requires it. Where it is reasonable, we will warn you first and give you a chance to fix the problem.
When your account closes:
- your signup pages, bot actions and integrations stop;
- you have 30 days to ask us for an export of your data;
- after that we delete your data as our Privacy Policy describes, except what the law requires us to keep;
- fees already due stay due, and sections 4 (refunds), 5, 8, 11, 12 and 15 to 19 continue to apply.
15. Disclaimers
Ternary is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that Ternary will meet your needs, that results will be accurate, or that third-party services such as Discord, Stripe or Slack will keep working with it.
16. Limits on our liability
To the fullest extent the law allows:
- neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if told they were possible;
- each party's total liability arising out of or relating to these terms is limited to the greater of the fees you paid us in the 12 months before the claim arose and US $100.
These limits do not apply to your payment obligations, to either party's breach of section 12, to your obligations under section 17, or to liability the law does not allow to be limited.
17. Your responsibility for claims
You will defend and compensate Ternary, and its officers, employees and agents, against claims, losses and costs (including reasonable legal fees) arising from your data, your community, your sales to members, your use of services you connect, or your breach of these terms or the law.
18. Governing law and disputes
These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Any dispute arising out of or relating to these terms or Ternary will be decided only in the state and federal courts located in the State of Florida, and both of us agree to the jurisdiction of those courts. Before starting a claim, each of us will first try in good faith, for 30 days, to resolve it by talking.
19. General
- Changes to these terms. We may update these terms. For a material change, we will tell you by email or in the dashboard at least 30 days before it takes effect. If you keep using Ternary after that, the new terms apply. If you do not agree, you may cancel before they take effect.
- Entire agreement. These terms, our Privacy Policy and any order form are the whole agreement between us about Ternary.
- Assignment. You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition or sale of assets, and will tell you if we do.
- Events outside our control. Neither of us is liable for delays caused by events beyond reasonable control, such as outages at Discord, Stripe or our hosting providers, natural disasters, war or labor disputes. This does not excuse payment.
- Notices. We send notices to the email address on your account. You send notices to support@ternarydev.com.
- No waiver; severability. If we do not enforce a term, we have not waived it. If a term is found unenforceable, the rest of these terms still apply.
- Independent parties. These terms do not create a partnership, agency or employment relationship.
